Terms of Service

1. Acceptance of Terms

By accessing or using the AdLane website (adlane.ai), business portal, or any related advertiser-facing services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. AdLane reserves the right to update these Terms at any time; continued use after changes constitutes acceptance.

2. About AdLane

AdLane is a hyper-local out-of-home advertising service operated by AdLane Inc. ("AdLane," "we," "us"). We help local businesses ("Advertisers") run vehicle-magnet advertising campaigns in their target neighborhoods. AdLane sources, vets, and manages the fleet of vehicles that carry advertising; Advertisers do not contract with vehicle operators directly. AdLane handles fleet matching, magnet production, GPS-based impression verification, analytics, and reporting end-to-end.

3. Eligibility

You must be at least 18 years old and legally able to enter binding agreements. Advertisers must represent a legitimate business operating in or targeting one of our active markets. AdLane reserves the right to deny access at our discretion.

4. Accounts & Registration

You must provide accurate, current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at drive@adlane.ai if you suspect unauthorized access. AdLane may suspend or terminate accounts that violate these Terms.

5. Advertiser Obligations

• All advertising content must be truthful, not misleading, and compliant with applicable laws.
• AdLane reserves the right to reject or remove any ad creative that violates our content policies, community standards, or applicable regulations.
• Advertisers are responsible for ensuring their campaigns comply with local advertising ordinances in their selected markets.
• Campaign budgets, geographic targeting, and duration are set during campaign creation. Changes may be requested but are subject to AdLane approval and availability.
• Advertisers warrant that they own or have permission to use all creative assets, trademarks, and content submitted to the Platform.

6. Fees & Payments

• Campaign pricing starts at $500/month. Specific pricing depends on the geography, fleet size, and campaign duration selected during setup.
• Payments are collected via Stripe at the start of each billing cycle. Campaigns auto-renew monthly until cancelled.
• Refunds are handled on a case-by-case basis — contact drive@adlane.ai within 7 days of a charge to request review.
• Magnet production, installation, and removal costs are included in the campaign price unless otherwise specified.
• Taxes are the responsibility of the Advertiser as applicable in their jurisdiction.

7. Impression Tracking & Verification

AdLane uses GPS location data from the active fleet combined with traffic density models to estimate advertising impressions. These estimates are provided in good faith but are not guaranteed to be exact. Impression counts displayed on dashboards are approximations used for reporting and optimization purposes.

8. Suspension & Termination

• AdLane may suspend or terminate any Advertiser account for violations of these Terms, fraudulent activity, non-payment, or conduct harmful to the Platform or its users.
• Advertisers may cancel a campaign at the end of any monthly billing cycle with no early-termination fee.
• Upon cancellation, AdLane will coordinate magnet removal at no additional cost; running campaigns will continue through the end of the paid billing period.

9. Intellectual Property

All AdLane branding, software, designs, and content are owned by AdLane Inc. or its licensors. Advertising creatives remain the property of the respective Advertiser. By submitting creative to the Platform, Advertisers grant AdLane a limited license to print, install, and display the creative for the purpose of fulfilling the agreed campaign. You may not copy, modify, or redistribute any AdLane materials without written permission.

10. Disclaimers

The Platform is provided "as is" without warranties of any kind, express or implied. AdLane does not guarantee uninterrupted service, impression accuracy, or specific campaign results.

11. Limitation of Liability

To the fullest extent permitted by law, AdLane's total liability for any claim arising from or related to the Platform shall not exceed the amount you paid to AdLane in the 12 months preceding the claim. AdLane is not liable for indirect, incidental, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold harmless AdLane, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights — including any claims related to creative content you submit.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Oregon. Any disputes shall be resolved through binding arbitration in Portland, OR, under the rules of the American Arbitration Association. You waive any right to participate in a class action.

14. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
